VantagePoint Vault Confidentiality, Non-Circumvention & Commission Terms

Welcome to the VantagePoint Vault, a secure platform providing access to exclusive off-market investment opportunities. Access to this information is granted only to users who agree to the following terms.

1. Confidentiality

All property addresses, ownership details, pricing, photos, disclosures, financial data, and related communications (“Confidential Information”) are proprietary to VantagePoint Properties and may not be copied, shared, or distributed. You may share such information only with licensed advisors or partners directly involved in your analysis or purchase process, who are likewise bound by these terms.

2. Non-Circumvention

You agree not to contact property owners, tenants, or sellers directly regarding any property introduced through the Vault. All communications and negotiations must occur exclusively through VantagePoint Properties.

3. Commission Protection

If you, your company, or any affiliated entity purchase, contract, or otherwise acquire a property introduced through the Vault within 24 months of disclosure:

  • VantagePoint will be recognized as the procuring cause of the transaction.
  • A 2.5% brokerage commission will be due and payable to VantagePoint at closing, regardless of whether a seller commission is also offered.
  • If the purchasing entity is an LLC or other organization, its principals personally guarantee these obligations.

4. Buyer Relationship

Accessing the Vault does not create a Buyer Agency relationship. A formal Buyer Representation Agreement must be executed separately for agency representation.

5. Duration of Obligations

  • Confidentiality obligations remain in effect for two (2) years.
  • Non-circumvention and commission obligations remain valid for twenty-four (24) months after each property disclosure.

6. Enforcement

VantagePoint reserves the right to pursue injunctive relief, enforcement of commission, and recovery of attorney fees and costs in the event of breach.

7. Dispute Resolution

Disputes shall first be submitted to mediation in Connecticut and, if unresolved, settled by binding arbitration in Fairfield County, Connecticut under AAA rules.

8. Governing Law

These terms are governed by the laws of the State of Connecticut.

9. Acknowledgment

By checking the acknowledgment box on the VantagePoint Vault access page, you confirm that you have read, understood, and agree to these VantagePoint Vault Confidentiality and Commission Terms. Electronic acknowledgment shall be deemed legally equivalent to a signed agreement under the U.S. E-SIGN Act (15 U.S.C. §7001).
